If I read his correctly, on 4 March 2013, Mike Lawrie exercised 50,000 share grants for free. He then sold just under half for almost US $1,175,000. He is holding the rest, which is worth about US $1,180,000.
The fact that he immediately sold half of the shares shows how much, or rather how little, confidence he has in a further increase in CSC share price. Just like most employees.

1,174,654 US$ of CLEAR values.

Jeepers. The CEO has exercised 50k options 3 times since November 2012, each time offloading 40-50% of shares for about $2.8m.

Whilst he may be buying property or a new gin palace, it doesn't show a lot of confidence in the outcome does it?

CSC is scrapping the Recognising Excellence (RE) award for its top workers as it looks towards another year of austerity. Its CLEAR - one rule for senior management, and another for the workers.

Is this a new scandal striking corporate America, shortly after the banking scandals created such bad press for the finance sector?

And please don't forget our last glorious leader on a $81000.00 a month pension. Nice work if you can get it !

CSC declares a regular quarterly
dividend of $0.20 per share on the company`s Common Stock. CLEARly CSC does not have the welfare of its employees uppermost in its mind. What impact will this have on employee productivity/moral going forward in the light of scrapping the employee recognition scheme?

I'm no cheerleader for Csc this type of pattern for directors who receive free shares as part of their remuneration package seems quite common. Take a look at IBM for a comparison. I don't think anyone could say that they are in bad shape... I think this particular post is a little over critical in the quest to rubbish Csc...

Re the last comment (13 March at 16.21).

I would be happy to see Lawrie cashing in shares to get US$2.8 million if he had created sustainable success, say over 3 to 5 years.

But he has not proved that, at least not yet. He has just driven the share price up over a 9 month period. Remember Laphen managed to do that too, till reality kicked in in 2010.

One cannot blame Lawrie for taking advantage of the generous terms of the employment contract which the Board of Directors gave him. They front-ended his compensation far too much, encouraging him to act like a bonus-driven investment banker, not a CEO tasked with rebuilding CSC.

The Board which appears not to have learned much from their contribution to allowing Laphen to be royally paid for almost destroying the company with his obsessive short-termism.

They are rewarding Lawrie too much too soon.

In March 122,695 Mike Laphen exercised 122,695 shares for a price of US$0 ie for free. No doubt part of his termination pay-off. These shares are now worth just over US$6million. A nice little nestegg in case he can't survive on his pension of US$81,000per month.

Meantime in the real world, long-serving and successful CSC employees are being terminated with the legal minimum pay-off due to the consequences of Laphen's mismanagement.

This is perfectly legal, but the different standards of applied give a good indication of the level of integrity and ethics of the CSC management and Board of Directors;

meanwhile, any form of financial bonus to staff for exceptional performance or going beyond their duties has been scrapped to save money....

Mike Lawrie is busy making money selling his shares while employees are being made redundant to cut costs!!!!

Anonymous said...

I'm seeing a lot of employees with 20+ years with the company being kicked to the curb with no notice. Employees with excellent performance reviews getting 3% raises year after year. A culture of fear where there is zero job security. Meanwhile this guy needs to rent a dump truck to carry his millions to the bank.

Anonymous said...

Whoever writes this blog, is it possible perhaps to research & write a piece on the current large scale redundancies against the background of executive pay, reward & renumeration?

You obviously have insight & access to information that most of us don't.

The more things change, the more they stay the same I suppose...

And yet again more shares allocated and over 22k sold that will inspire investors , as this man ,no shame !

CSC has just named Maruf Majed as its Head of Asia, Middle East and Africa. He previously worked for Misys, Siebel and IBM.

Didn't someone else come to CSC via Misys, Siebel and IBM? Oh yes, a certain Mike Lawrie.

Re the IBM v CSC and Greiner complaint.

The people Greiner allegedly poached for CSC cannot be that good.

Why would someone leave IBM for CSC today? Only for short-term monetary gain, as CSC has nothing else to offer. Top performers end to have other considerations when changing employer.

Can you build an great organization with mercenaries? I think not.

Any chance the blog author might set up a twitter account purely to notify when you post? I don't use any of the feeds you offer. Interesting blog.
